The Labuan FSA Guidelines on the Establishment of Labuan Protected Cell Companies were first issued on 11 December 2013 and updated on 20 June 2025.

Core content:

1. A protected cell company (PCC) consists of a core and a number of separate cells and is the principal vehicle for rent-a-captive business.

2. The minimum aggregate capital requirement for a PCC is RM500,000, and each cell must remain solvent at all times.

3. The assets and liabilities of each cell, and those of the cells and the core, are legally segregated from one another, and creditors of any one cell may not have recourse to the assets of any other cell.

4. The establishment of a new cell must be notified to Labuan FSA 7 days in advance, together with payment of an annual fee.
